Terms of Service
These Terms govern your access to FleetDV at fleetdv.com. FleetDV is the customer-facing service name and is legally operated by Zenpath LLC (“Zenpath,” “we,” “us,” or “our”). By creating an account or using FleetDV, you agree to these Terms and acknowledge the Privacy Policy.
1. Eligibility and account registration
You must be legally able to enter into this agreement and provide accurate account information. FleetDV is intended for adults and business users; it is not directed to children under 13. You are responsible for keeping your credentials confidential, controlling access to your devices, and promptly notifying us of suspected unauthorized use. You are responsible for activity occurring through your account unless prohibited by law.
2. What FleetDV provides
FleetDV is a fleet-management and financial-tracking tool. It helps users organize vehicles, bookings, expenses, recurring costs, loans, imported information, utilization, profit calculations, projections, and related business records. Features and reports depend on the information you provide or import.
3. Your responsibility for information
You are responsible for the legality, completeness, and accuracy of information entered or uploaded to FleetDV. Dashboard metrics—including revenue, true profit, expenses, utilization, fees, break-even estimates, and projections—depend on user-supplied or imported information and application assumptions.
You must independently verify information used for significant business, accounting, lending, insurance, legal, or tax decisions. Correct or update inaccurate records when appropriate.
4. Your content and data
You retain ownership of the fleet records, files, and other content you submit. You grant FleetDV and its service providers a limited right to host, process, copy, display, and transmit that content only as reasonably necessary to provide, secure, support, and improve the service and comply with law.
You represent that you have the necessary rights and permissions to submit the content and that doing so does not violate law or another person’s rights.
CSV and file imports
You are responsible for reviewing imported records and ensuring files do not contain information you are not authorized to process. Import formats and third-party exports can change, and FleetDV does not guarantee that every file will import perfectly. Review imported values before relying on calculations or reports.
5. Acceptable use
You may not use FleetDV to:
- violate law, regulations, contracts, privacy rights, or intellectual-property rights;
- upload malicious code or interfere with the service, its infrastructure, or other users;
- probe, bypass, or defeat authentication, subscription controls, rate limits, or security protections;
- access another user’s account or data without authorization;
- use automated means that materially burden the service without permission;
- resell or reproduce FleetDV except through a written agreement; or
- submit fraudulent, deceptive, or unlawfully obtained information.
6. Trial, subscription, and billing
Seven-day free trial
Eligible users may start a seven-day FleetDV Pro trial through the secure Stripe Checkout flow. Creating a FleetDV account alone does not start the trial. Trial eligibility may be limited to prevent repeated or abusive trials.
$5.99 monthly subscription
Unless canceled before the trial ends, the FleetDV Pro subscription automatically renews at $5.99 per month, plus applicable taxes, using the payment method managed through Stripe. Billing recurs until canceled.
Cancellation
You can manage or cancel through Account & Billing and the Stripe Customer Portal. Cancellation takes effect according to the trial end or current billing-period end displayed in FleetDV or Stripe. Access may continue through that date, and fees already charged are not automatically refundable except where required by law or expressly stated otherwise.
Stripe processes payment methods, charges, invoices, and receipts. FleetDV does not store complete card numbers.
Transactional communications
By creating or maintaining an account, you agree that FleetDV may send non-marketing communications reasonably necessary to provide and protect the service, including verification, password-reset, security, billing, subscription, cancellation, and important service emails. You may not be able to opt out of all transactional messages while keeping an active account.
7. No professional advice
FleetDV is not an accountant, tax adviser, attorney, insurer, investment adviser, lender, or financial adviser. The service does not provide accounting, tax, legal, insurance, investment, or financial advice. Calculations and reports are organizational tools, not audited statements or professional recommendations.
Consult qualified professionals and original records for important decisions, filings, compliance obligations, financing, insurance, or disputes.
8. Availability and service changes
We aim to provide a reliable service, but FleetDV may be unavailable due to maintenance, provider outages, security incidents, network conditions, or circumstances beyond reasonable control. We may add, change, suspend, or discontinue features. When reasonably practicable, we will provide notice of material changes that significantly affect paid service use.
You are responsible for maintaining appropriate copies of records needed for your business, accounting, tax, or legal obligations.
9. FleetDV intellectual property
FleetDV, including its software, design, branding, interfaces, and service content other than user-owned data, is owned by Zenpath LLC or its licensors and protected by applicable intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended purpose while your account is authorized.
10. Third-party services
FleetDV depends on services such as Supabase and Stripe. Your use of third-party features may also be subject to their terms and policies. FleetDV is not responsible for third-party services outside its reasonable control, but we will use reasonable efforts to operate our integrations appropriately.
11. Suspension and termination
You may stop using FleetDV at any time. We may suspend or terminate access when reasonably necessary for nonpayment, material violation of these Terms, security risk, unlawful use, abuse, or protection of FleetDV and its users. Where appropriate, we may provide notice and an opportunity to cure. You may request deletion of your account and associated personal data by emailing support@myfleetledger.com; deletion is subject to identity verification and the retention exceptions described in the Privacy Policy. Account deletion does not itself cancel an active Stripe subscription, so manage or cancel billing through Account & Billing first. Provisions that by their nature should survive termination—including ownership, disclaimers, and liability limitations—will survive.
12. Disclaimers
To the maximum extent permitted by law, FleetDV is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that imported data, calculations, reports, projections, or third-party integrations will always be complete or accurate.
Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, FleetDV and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, goodwill, or data arising from use of the service.
Where liability cannot be excluded, FleetDV’s aggregate liability relating to the service will not exceed the greater of (a) amounts you paid to FleetDV during the six months before the event giving rise to the claim or (b) US $50. This limitation does not apply where prohibited by law or to liability that cannot legally be limited.
Governing law and disputes
Subject to applicable consumer-protection and other mandatory laws, these Terms are intended to be governed by the laws of the state where Zenpath LLC is organized, without regard to conflict-of-law principles. Before filing a formal claim, you and Zenpath LLC agree to make a good-faith effort to resolve the issue by contacting support@myfleetledger.com. Any jurisdiction, venue, or dispute-resolution language for FleetDV should be reviewed and finalized by qualified legal counsel before commercial reliance; this section does not impose mandatory arbitration or a class-action waiver.
14. Changes to these Terms
We may update these Terms to reflect service, legal, or operational changes. Updated Terms will be posted here with a revised “Last updated” date. We may provide additional notice of material changes. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.
15. General terms
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Zenpath LLC may assign them as part of a merger, acquisition, reorganization, or transfer of the service. These Terms and the Privacy Policy form the agreement concerning your use of FleetDV, subject to any additional written terms that apply.
